Customer Registration Agreement for .abudhabi & ابوظبي. (xn--mgbca7dzdo).
This document sets out the terms and conditions of your application for .abudhabi & ابوظبي. (xn--mgbca7dzdo), and if successful, your Domain Name Licence. It records the agreement between you, the applicant or holder of a Domain Name Licence, and us, the registrar, in relation to the Domain Name. By submitting this application for a domain name, you confirm that you are eligible to hold the domain name set out in this application, and that all information provided in this application is true, complete and correct, and is not misleading in any way. If any information is later found to be not true, or is incomplete, incorrect, or misleading in any way, or if you have submitted this application in bad faith, the domain name license can be cancelled.
1) Summary Of Terms and Conditions
1.1 If your application for a domain name is accepted and approved, you will be granted a Domain Name License for the period specified in the application for that domain name
1.2 You are required to make several statements to us in relation to your domain name application - please read them carefully to ensure that those statements are correct
1.3 You are entitled to transfer your domain name registration to another registrar, and we will facilitate such transfer for you according to our obligations under ICANN's Published Policies (see http://icann.org)
1.4 You are bound by the Uniform Domain Name Dispute Resolution Policy (UDRP) in relation to your registered domain name, as well as such other dispute resolution policy which may be adopted by ICANN from time to time
1.5 You accept that our liability to you under these terms and conditions is limited to the cost of the Domain Name License
2) Definition
2.1 ICANN means Internet Corporation for Assigned Names and Numbers, which is responsible for coordinating the maintenance and procedures of several databases related to the namespaces of the Internet.
2.2 Registry Operator means Abu Dhabi Systems and Information Centre.
2.3 Published Policies collectively means the ICANN Published Policies, ICANN RPMs and the Registry Operator Published Policies which can be found at ICANN's website http://icann.org and Registry Operator’s website http://nic.abudhabi.
2.4 ICANN Published Policies means any ICANN Temporary Specifications or Policies and Consensus Policies (as defined in the Registry Agreement), including, without limitation, the latest versions, of policies identified at http://www.icann.org/en/resources/registrars/consensus-policies and any such policies that are from time to time developed and adopted by ICANN.
2.5 Registry Agreement means the Registry Agreement between Registry Operator and ICANN whereby the Registry Operator is designated as the registry operator of the Designated gTLD.
2.6 ICANN RPMs means any Rights Protection Mechanisms and associated rules, policies, requirements and procedures as outlined in Specification 7 of the Registry Agreement and the ICANN Published Policies, including but not limited to the TMCH Requirements, the Uniform Rapid Suspension (URS) requirements, the Trademark Post-Delegation Dispute Resolution Procedure (PDDRP) and the Registration Restriction Dispute Resolution Procedure (RRDRP).
2.7 Registry System means the system operated by or on behalf of the Registry Operator for the Designated gTLD used to record, store and maintain details of available and registered Domain Names in the Designated gTLD.
3) General Terms
3.1 Your application for a Domain Name must be in the form prescribed under the Published Policies. The Domain Name must comply with the Published Policies.
3.2 You accept that even if we have accepted and approved your Domain Name application, the application may still be rejected by the Registry in performing its final integrity checks.
3.3 You accept that neither you, nor we, have any proprietary right arising from the registered Domain Name, or the entry of a Domain Name in the domain names registry.
4) Eligibility Requirements
4.1 In order to register or renew a domain name the Applicant or Registrant must satisfy Criteria A, B or C as described in this section and be the intended beneficiary of the domain name registration.
4.2 Criteria A – Entities in Abu Dhabi. The Applicant must be an entity registered with the Chamber of Commerce, that has a valid address in Abu Dhabi associated with that registration, and conforms to the laws and policies of the United Arab Emirates.
4.3 Criteria B – Residents of Abu Dhabi.The Applicant must be a citizen and/or permanent resident of the United Arab Emirates with a valid address in Abu Dhabi.
4.4 Criteria C – Associated Entities. The Applicant must:
4.4.1 manufacture or sell a product to residents of Abu Dhabi;
4.4.2 provide a service to entities or individuals residing in Abu Dhabi;
4.4.3 organise or sponsor events in Abu Dhabi;
4.4.4 facilitate activities in Abu Dhabi; or
4.4.5 teach or provide training to residents of Abu Dhabi.
5) Intellectual Property
5.1 The Customer:
5.1.1 must ensure that the Customer’s Application for, and the possible subsequent registration and/or use of, the Domain Name will not infringe the Intellectual Property rights of any third party;
5.1.2 agrees and submits to proceedings commenced under all applicable ICANN dispute resolution policies or processes as established or amended by ICANN from time to time; and
5.1.3 must bear liability for any claims of infringement arising out of or relating to the Customer’s registration or use of the Domain Name, and indemnifies the Registry Operator for any liability it may incur arising from such infringement.
6) Our Obligations To You
6.1 The Customer expressly agrees to:
6.1.1 comply with the applicable Published Policies, and that the Published Policies may be modified, and agrees to comply with any such changes in the time period specified for compliance;
6.1.2 adhere to all ICANN Published Policies for which the Registry Operator has monitoring responsibility under the Registry Agreement or any other arrangement with ICANN;
6.1.3 adhere to all Registry Operator Published Policies as established from time to time;
6.1.4 adhere to any policies, rules or procedures applicable under the ICANN RPMs, submit to any proceedings brought in relation to the ICANN RPMs, and acknowledge any potential consequences of the ICANN RPMs including, but not limited to, the potential for a Domain Name to be locked pursuant to the Uniform Rapid Suspension rules;
6.1.5 The Customer expressly acknowledge and agree that the Registry Operator and its designees and agents have the right to use, copying, distribution, publication, modification and other processing of the Customer’s Personal Data;
6.1.6 and warrants that any consents procured in respect of the Personal Data for the purpose of the Customer Agreement have been procured lawfully; and
6.1.7 refrain from engaging in any of the Prohibited Activities and acknowledge that the consequences of such activities, which shall include suspension or deletion of the Domain Name.
7) Customer’s Warranty
7.1 The Customer represents and warrants that:
7.1.1 it has the authority to enter into the Customer Registration Agreement;
7.1.2 the information provided in relation to an Application, or a Domain Name, as the case may be, is current, complete, and accurate, and that the Customer agrees to correct and update the information to ensure that it remains current, complete, and accurate; and
7.1.3 in the event that any registration information provided in relation to an Application, or a Domain Name, changes the Customer will correct and update that information immediately.
8) Customer Acknowledgements
8.1 The Customer expressly agrees and acknowledges:
8.1.1 an Application for a Domain Name may not result in the Domain Name being Allocated to the Customer;
8.1.2 certain domain names may not be available as a result of being reserved by the Registry Operator or otherwise Allocated in accordance with the Published Policies;
8.1.3 from time to time the Registry Operator may identify certain domain names to be reserved, and may release such domain names subject to the Published Polies;
8.1.4 during the periods and under the circumstances identified in the Published Policies, multiple Applications for the same Domain Name may be accepted, and that those Applications may be subject to the Special Allocation Procedure described in relation to that period or circumstance;
8.1.5 where a Special Allocation Procedure exists, the Customer must pay any fees and undertake any further steps that may be required in order to complete the process of registering the Domain Name;
8.1.6 the Registry Operator may prevent a Customer from making an Application and registering or renewing a Domain Name where that Customer has been found to be in breach of the Published Policies;
8.1.7 that the Registry Operator reserves the right to deny any Application, or cancel, lock, place on hold, transfer or delete any Domain Name that it deems necessary, in its sole discretion:
8.1.7.1 to protect the integrity and stability of the Registry System;
8.1.7.2 to comply with its obligations as a Registry Operator;
8.1.7.3 to comply with any applicable laws, government rules or requirements, requests of law enforcement, or in compliance with any dispute resolution policies or process;
8.1.7.4 to avoid any liability, civil or criminal, on the part of Registry Operator, as well as its affiliates, subsidiaries, officers, directors, employees and subcontractors;
8.1.7.5 to ensure compliance with the Published Policies;
8.1.7.6 to stop or prevent any violations of any terms and conditions of the Customer Registration Agreement;
8.1.7.7 for the non-payment to the Registry Operator of any fee; or
8.1.7.8 to correct mistakes made by the Registry Operator or any Registrar or any of its service providers in connection with an Application or a domain name.
9) Fees
9.1 The Customer expressly agrees and acknowledges:
9.1.1 the price presented by the Registrar to the Customer for:
9.1.1.1 the Application;
9.1.1.2 fulfilling any TMCH Requirements;
9.1.1.3 the Allocation of a Domain Name;
9.1.1.4 any premium associated with a Domain Name;
9.1.1.5 creation of the Domain Name;
9.1.1.6 renewal of the Domain Name; or
9.1.1.7 any other fees that may be associated with the Domain Name;.
9.1.2 that the price for the creation of a Domain Name may be greater than or less than the price for the renewal of that Domain Name; and
9.1.3 that no refund will be provided for the Customer’s failure to check or understand the fees.
10) Indemnity
10.1 The Registrar undertakes to include in the Customer Registration Agreement that:
10.1.1 The Customer indemnifies and keeps the Registrar and the Registry Operator (including its affiliates, employees, agents and subcontractors) fully indemnified from and against all suits, actions, claims, demands, losses, liabilities, damages, costs and expenses that may be made or brought against or suffered or incurred by the Registrar or the Registry Operator arising out of or in connection in away with a breach of the customer registration agreement.
10.1.2 The Customer represents, warrants and undertakes to the Registrar that the service and the delivery for the service and use of any or all of the foregoing as contemplated in this customer registration agreement, does not and will not constitute and infringement or misappropriation of any intellectual property rights of third parties.
11) Additional Customer Obligations for Special Allocation Procedures
11.1 The Registrar undertakes to include in the Customer Registration Agreement that:
11.1.1 The customer contact may be made by the Registrar or its service providers in relation to an Application; and
11.1.2. pursuant to the Registry Operator Published Polices, failing to provide sufficient information in order to undertake any verification of an Application that the Application may be discontinued.
